Terms and Conditions for Souqelbeet Seller

Please read these Terms and Conditions carefully before using Souqelbeet Seller. These Terms govern the access to and use of the seller application, seller dashboard, marketplace tools, order management features, and related services made available by souqelbeet.


By creating a seller account, opening a store, listing products, accepting orders, or otherwise using the Service, You agree to be bound by these Terms. If You do not agree to these Terms, You must not use the Service.


1. Interpretation and Definitions


For the purposes of these Terms:


Application means the software program provided by the Company and downloaded by You on any electronic device, named Souqelbeet Seller.


Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google LLC (Google Play Store) through which the Application may be downloaded.


Company, We, Us, or Our refers to souqelbeet.


Country refers to Saudi Arabia.


Customer means any person or entity that places or attempts to place an order through Souqelbeet.


Device means any device that can access the Service, including a computer, mobile phone, or tablet.


Marketplace means the Souqelbeet platform through which products may be listed, offered, sold, purchased, fulfilled, or delivered.


Seller, You, or Your means the individual, business, productive family, merchant, store owner, representative, or other legal entity accessing or using the Service to create or manage a store, list products, receive orders, or sell through Souqelbeet.


Service means the Souqelbeet Seller application, seller account, seller dashboard, marketplace tools, order management tools, communications, and related services provided by the Company.


Store means the seller profile, storefront, catalog, or business presence created by You on Souqelbeet.


Terms means these Terms and Conditions, including any policies, guidelines, fee schedules, return rules, product rules, and operational instructions made available by the Company.


2. Nature of the Service


Souqelbeet Seller is designed for sellers who wish to open and manage a store on Souqelbeet, list products, update prices and stock, receive and process orders, coordinate with delivery representatives, communicate about orders, and manage seller-related activities.


Souqelbeet may act as a marketplace, technology platform, intermediary, ordering platform, delivery coordination platform, or payment facilitator depending on the type of transaction. Souqelbeet is not automatically the manufacturer, importer, legal seller, or owner of every product listed by sellers unless expressly stated.


3. Eligibility and Authority


You must be at least 18 years old to use the Service.


If You use the Service on behalf of a company, store, productive family, organization, or other entity, You represent that You have the authority to bind that entity to these Terms.


You are responsible for ensuring that Your commercial activity, store, licenses, registrations, tax status, and product sales comply with applicable laws, regulations, and requirements in Saudi Arabia and any other relevant jurisdiction.


We may request documents or information to verify Your identity, business activity, authorization, bank account, tax details, product permissions, or compliance status. Failure to provide requested information may result in rejection, restriction, suspension, or termination of Your seller account.


4. Seller Account and Store Registration


To use the Service, You may be required to create a seller account and provide accurate, complete, and current information, including but not limited to name, mobile number, email address, store name, address, business details, identification, commercial registration or license where applicable, bank or payout details, tax information where applicable, and product category information.


You are responsible for maintaining the confidentiality of Your login credentials and for all activities that occur under Your account. You must notify Us immediately if You suspect unauthorized access or misuse of Your account.


You must not create fake stores, duplicate accounts, misleading seller profiles, or accounts for businesses You are not authorized to represent.


5. Seller Information and Public Store Details


You agree that certain seller and store information may be displayed to Customers where appropriate, including store name, product information, ratings, reviews, fulfillment status, return information, contact or support details, and other information necessary to complete transactions or comply with applicable requirements.


You must ensure that all information displayed on Your Store is truthful, accurate, not misleading, and updated whenever changes occur.


6. Product Listings


You are responsible for all products You list or offer through Souqelbeet. Each listing must include accurate and clear product information, including product name, description, images, price, stock availability, size, weight, color, ingredients or components where applicable, warranty information where applicable, expiry date where applicable, preparation time, return eligibility, and any safety, usage, storage, or age restrictions.


Product images must represent the actual product accurately. You must not use copyrighted photos, trademarks, logos, or content that You do not own or have permission to use.


You must keep prices, stock, and product availability updated. You are responsible for any harm, complaint, cancellation, refund, or dispute caused by inaccurate listings, unavailable products, incorrect prices, misleading photos, or incomplete product information.


7. Product Compliance and Safety


You are solely responsible for ensuring that Your products are genuine, safe, lawful, properly labeled, fit for their intended purpose, and compliant with applicable laws, regulations, standards, customs rules, consumer protection rules, health and safety requirements, and product-specific requirements.


Where applicable, You must hold and maintain all required approvals, certificates, registrations, permits, invoices, supplier documentation, warranty documents, and product compliance documents.


Food, cosmetics, health-related products, children’s products, electrical products, and any regulated product categories must meet all applicable safety, storage, labeling, expiry, licensing, and handling requirements.


8. Prohibited and Restricted Products


You must not list, offer, sell, deliver, or attempt to sell any illegal, prohibited, unsafe, restricted, counterfeit, stolen, infringing, deceptive, or unauthorized products.


Prohibited or restricted items may include, without limitation: weapons, ammunition, explosives, alcohol, narcotics, prescription-only medicines, controlled substances, hazardous materials, counterfeit goods, stolen goods, products that infringe intellectual property rights, products that violate public morals or applicable laws, recalled products, expired products, unsafe food, and any product restricted by Souqelbeet or applicable law.


We may remove listings, cancel orders, withhold payouts, suspend accounts, or report activity to relevant authorities where We believe a product violates these Terms or applicable requirements.


9. Order Management


When a Customer places an order for Your products, You must review, accept, prepare, reject, or update the order within the timeframes and procedures displayed in the Service.


You must only accept orders that You can fulfill accurately and on time. If an item is unavailable, incorrectly priced, damaged, expired, or otherwise cannot be fulfilled, You must update the order status and notify Souqelbeet or the Customer through the approved channels.


Repeated late preparation, incorrect orders, cancelled orders, unavailable items, poor packaging, or customer complaints may affect Your store visibility, rating, payouts, and account status.


10. Fulfillment, Packaging, and Handover


You are responsible for preparing products according to the order details, quality standards, and required preparation times.


Products must be properly packed, sealed, labeled, and protected for delivery. Packaging must be appropriate for the type of product, including fragile, frozen, chilled, hot, liquid, food, cosmetic, or sensitive items.


You must hand over the correct order to the authorized Souqelbeet delivery representative, Customer, or collection method as instructed through the Service. You may be required to verify order numbers, delivery codes, customer details, or handover confirmations.


11. Delivery and Customer Experience


Souqelbeet may provide or coordinate delivery services through delivery representatives, third-party couriers, or other delivery methods. You must cooperate with the delivery process, provide accurate preparation times, and ensure the order is ready for pickup at the confirmed time.


You must not ask Customers or delivery representatives to pay undisclosed fees outside the Service unless the fee has been approved and displayed through Souqelbeet.


12. Prices, Fees, and Commissions


You are responsible for setting and updating product prices unless otherwise agreed. Prices must be accurate, lawful, and inclusive of applicable taxes where required.


Souqelbeet may charge commissions, subscription fees, service fees, payment processing fees, delivery-related fees, promotional fees, penalties, or other charges as displayed in the seller dashboard, seller agreement, invoice, fee schedule, or other written notice.


By using the Service, You authorize Souqelbeet to deduct applicable fees, refunds, chargebacks, penalties, adjustments, and amounts owed from Your payouts or seller balance.


13. Payouts and Settlements


Payouts to Sellers may be made according to the settlement cycle, payment method, and rules displayed in the Service or agreed with the Company.


Payouts may be delayed, adjusted, suspended, or withheld if there are pending refunds, customer disputes, suspected fraud, chargebacks, incorrect bank details, compliance checks, tax issues, account reviews, legal requests, or suspected violations of these Terms.


You are responsible for providing accurate bank or payment details. Souqelbeet is not responsible for payout delays or losses caused by incorrect information provided by You.


14. Taxes, Invoices, and Records


You are responsible for determining, collecting, reporting, and paying any applicable taxes, VAT, duties, fees, or government charges related to Your sales, business activity, products, payouts, or use of the Service.


Where required, You must issue valid invoices, receipts, tax invoices, or other transaction documents to Customers or Souqelbeet. You must keep accurate books and records relating to Your sales and transactions.


15. Returns, Refunds, Replacements, and Cancellations


You must comply with Souqelbeet’s return, refund, replacement, cancellation, warranty, and customer complaint policies, as well as applicable consumer protection requirements.


You are responsible for defective, damaged, expired, incorrect, missing, counterfeit, unsafe, misleading, or non-compliant products sold by Your Store.


Souqelbeet may issue refunds, replacements, credits, cancellations, or adjustments to Customers where appropriate. If the issue is caused by Your product, listing, stock, packaging, preparation, delay, misconduct, or breach of these Terms, Souqelbeet may deduct the relevant amounts from Your payouts or seller balance.


Certain products may be non-returnable for hygiene, health, safety, custom-made, expiry, or legal reasons, but such restrictions must be clearly disclosed and must comply with applicable law.


16. Customer Communications


You must communicate with Customers, delivery representatives, and Souqelbeet staff respectfully, professionally, and only through approved channels where required.


You must not harass, threaten, insult, spam, mislead, or pressure Customers. You must not move transactions outside Souqelbeet, request direct payments, collect unauthorized personal data, or use Customer information for unrelated marketing or private purposes.


17. Personal Data and Privacy


You may receive or access Customer personal data, order details, contact details, addresses, delivery information, and transaction information only for the purpose of processing and fulfilling orders through Souqelbeet.


You must protect all personal data, keep it confidential, use it only for the authorized purpose, and comply with Our Privacy Policy and applicable data protection laws. You must not sell, share, copy, store longer than necessary, misuse, or contact Customers outside the permitted purpose.


If You become aware of a data breach, unauthorized access, loss, disclosure, or misuse of Customer or platform data, You must notify Souqelbeet immediately.


18. Ratings, Reviews, and Store Performance


Customers may rate or review Your Store, products, or order experience. Souqelbeet may use ratings, reviews, cancellation rates, preparation time, complaint history, refund rates, order accuracy, and other performance indicators to determine store ranking, visibility, promotional eligibility, and account status.


You must not manipulate reviews, post fake ratings, offer incentives for dishonest reviews, threaten Customers to change reviews, or use third parties to distort store performance.


19. Promotions and Discounts


You may be able to participate in discounts, campaigns, coupons, bundles, advertisements, or promotional programs. Participation may be subject to separate terms, budgets, approvals, fees, and performance rules.


You are responsible for ensuring promotional prices and offers are accurate and honored during the relevant campaign period.


20. Intellectual Property


You retain ownership of content that You lawfully provide to Souqelbeet, such as product images, descriptions, logos, and store materials. By submitting content, You grant Souqelbeet a non-exclusive, worldwide, royalty-free license to use, host, display, reproduce, adapt, publish, translate, distribute, and promote such content in connection with the Service, the Marketplace, marketing, and platform operations.


You must not upload content that infringes the intellectual property, privacy, publicity, or other rights of any third party.


All rights in the Souqelbeet platform, software, trademarks, logos, designs, databases, and technology remain owned by or licensed to Souqelbeet.


21. Confidentiality


You may receive confidential information relating to Souqelbeet, Customers, delivery operations, pricing, commissions, technology, business processes, reports, or commercial arrangements. You must keep such information confidential and must not disclose it except as necessary to use the Service lawfully or as required by law.


22. Misuse, Fraud, and Security


You must not misuse the Service, attempt unauthorized access, interfere with platform operations, upload malicious code, manipulate orders, create fake transactions, abuse promotions, submit false claims, engage in fraud, impersonate others, or use the Service in a manner that harms Souqelbeet, Customers, delivery representatives, other sellers, or third parties.


23. Account Restriction, Suspension, and Termination


We may reject, restrict, suspend, deactivate, or terminate Your seller account, Store, listings, payouts, or access to the Service at any time where We reasonably believe that You have violated these Terms, applicable law, customer rights, product rules, platform policies, payment rules, data rules, or quality standards.


We may also take action if Your account creates risk, receives repeated complaints, is inactive, provides false information, sells prohibited products, engages in fraud, fails verification, or harms the reputation or operation of Souqelbeet.


Upon termination, You remain responsible for outstanding orders, refunds, customer complaints, chargebacks, fees, taxes, and any obligations that arose before termination.


24. Third-Party Services


The Service may integrate with payment processors, delivery providers, analytics tools, communication services, application stores, maps, cloud services, or other third-party services. Your use of third-party services may be subject to their own terms and privacy policies.


Souqelbeet is not responsible for third-party failures, delays, outages, fees, or acts except to the extent required by applicable law.


25. Disclaimer


The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Souqelbeet does not guarantee uninterrupted access, error-free operation, specific sales volume, profit, ranking, visibility, order frequency, or customer demand.


Nothing in these Terms limits any mandatory rights or obligations that cannot be limited under applicable law.


26. Limitation of Liability


To the maximum extent permitted by applicable law, Souqelbeet shall not be liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from or related to Your use of the Service, loss of sales, account restriction, listing removal, delivery delay, customer complaints, third-party services, or platform interruptions.


Where liability cannot be excluded, Souqelbeet’s liability will be limited to the greatest extent permitted by applicable law.


27. Indemnity


You agree to indemnify and hold Souqelbeet harmless from any claims, losses, damages, penalties, fines, costs, expenses, customer claims, third-party claims, regulatory actions, intellectual property claims, product liability claims, tax claims, or legal fees arising out of or related to Your products, Store, listings, content, order fulfillment, breach of these Terms, violation of law, misuse of Customer data, or misconduct.


28. Governing Law and Dispute Resolution


These Terms and Your use of the Service are governed by the laws of Saudi Arabia, excluding conflict of law rules.


If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting Souqelbeet. If the dispute cannot be resolved informally, it shall be handled by the competent courts or authorities in Saudi Arabia, unless mandatory law requires otherwise.


29. Changes to These Terms


We may update, modify, or replace these Terms from time to time. If a change is material, We will make reasonable efforts to notify You through the Service, email, or other appropriate channels.


By continuing to use the Service after changes become effective, You agree to be bound by the updated Terms. If You do not agree, You must stop using the Service.


30. Severability and Waiver


If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.


Failure by Souqelbeet to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.


31. Language and Translation


These Terms may be made available in more than one language. In the event of inconsistency between translations, the English version shall prevail unless applicable law requires otherwise.
