Terms and Conditions for Souqelbeet Delivery

Please read these Terms and Conditions carefully before using the Souqelbeet Delivery application.


1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Souqelbeet Delivery application and related services (the "Service"). The Service is provided by souqelbeet ("Company", "we", "us", or "our").


Souqelbeet Delivery is intended for delivery representatives, couriers, riders, drivers, shoppers, or other authorized persons who receive, accept, purchase, pick up, transport, and/or deliver orders for or through Souqelbeet (each, a "Delivery Representative", "you", or "your").


By creating an account, logging in, accepting an order, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.


2. Definitions

For the purposes of these Terms:


"Application" means the software program provided by the Company downloaded by you on any electronic device, named Souqelbeet Delivery.


"Application Store" means the digital distribution service operated by Apple Inc. (Apple App Store) or Google LLC (Google Play Store) from which the Application may be downloaded.


"Company" refers to souqelbeet.


"Country" refers to Saudi Arabia.


"Customer" means a person who places an order through Souqelbeet or requests purchasing, pickup, or delivery services.


"Device" means any device that can access the Service, such as a smartphone, tablet, or computer.


"Delivery Representative" means an authorized person who uses the Application to receive, accept, purchase, pick up, transport, and/or deliver orders.


"Order" means a customer order, delivery request, pickup request, purchase-on-behalf request, or any related task made available through the Application.


"Service" refers to the Souqelbeet Delivery application and any related tools, systems, communications, and services made available to Delivery Representatives.


"Terms" means these Terms and Conditions.


3. Eligibility and Account Approval

You must be at least 18 years old to use the Service.


You may only use the Service if you are approved or authorized by the Company. The Company may require identity information, contact details, a valid phone number, residency or work eligibility documents where applicable, vehicle information, driving license information, bank or payment details, and any other documents reasonably required for onboarding, verification, safety, compliance, or payment purposes.


You confirm that all information and documents you provide are true, accurate, current, and complete. You must promptly update any information that changes. We may refuse, suspend, or deactivate your access if information is inaccurate, incomplete, expired, fraudulent, or cannot be verified.


4. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.


You must not share, sell, rent, transfer, or allow another person to use your account. Orders must be performed only by the approved Delivery Representative assigned to or accepting the Order unless the Company expressly authorizes otherwise.


You must notify us immediately if you suspect unauthorized access to your account or Device.


5. Nature of the Relationship

Unless a separate written employment agreement signed by the Company states otherwise, your use of the Service does not create an employment relationship, partnership, agency, franchise, or joint venture between you and the Company.


You are responsible for your own compliance with applicable laws, permits, licenses, taxes, social insurance, vehicle costs, fuel, mobile data, equipment, and other expenses, except where the Company expressly agrees otherwise in writing.


Nothing in these Terms gives you authority to bind the Company, make promises on behalf of the Company, waive Company policies, or represent yourself as an employee or legal agent of the Company unless expressly authorized.


6. Description of the Service

The Application allows Delivery Representatives to receive, review, accept, manage, and complete Orders. Orders may include delivery of products sold through Souqelbeet, pickup and delivery tasks, and purchase-on-behalf requests where a Customer asks Souqelbeet or its representative to purchase items from stores or locations and deliver them to the Customer.


The availability of Orders may depend on location, demand, performance, operating hours, service coverage, Customer requests, store availability, and Company policies. We do not guarantee that any minimum number of Orders will be available.


7. Accepting and Completing Orders

When you accept an Order, you agree to complete it carefully, honestly, safely, and in accordance with the instructions shown in the Application and any instructions provided by the Company.


You must:

- review Order details before accepting or starting the task;

- proceed to the pickup or purchase location without unreasonable delay;

- verify the items, quantities, and instructions as far as reasonably possible;

- follow customer-approved substitutions or instructions only when permitted by the Application or Company;

- keep the Order safe, clean, and protected during transport;

- update the Order status accurately and promptly;

- deliver the Order to the correct address and recipient;

- provide proof of pickup, purchase, payment, and/or delivery when requested;

- contact support through approved channels if an issue occurs.


You must not mark an Order as picked up, purchased, delivered, cancelled, or failed unless that status is accurate.


8. Purchase-on-Behalf Orders

Some Orders may require you to purchase items on behalf of a Customer. You must follow the Order instructions and Company policies carefully.


For purchase-on-behalf Orders:

- you must buy only the requested items or approved substitutes;

- you must not add personal items or unauthorized products;

- you must not request, charge, or collect any unauthorized amount from the Customer;

- you must keep and upload or submit receipts where required;

- you must notify the Company or Customer through approved channels if an item is unavailable, the price changes, the store refuses the purchase, or any issue arises;

- you must not purchase prohibited, illegal, unsafe, restricted, counterfeit, age-restricted, or regulated items unless expressly permitted by applicable law and Company policy.


9. Prohibited and Restricted Items

You must not use the Service to purchase, pick up, carry, or deliver any item that is illegal, prohibited, unsafe, counterfeit, stolen, restricted, or not allowed under applicable law or Company policy.


Prohibited or restricted items may include, without limitation, weapons, explosives, alcohol, drugs, controlled substances, prescription-only medicines without proper authorization, hazardous materials, stolen goods, counterfeit products, items requiring special licenses, and any other items prohibited in Saudi Arabia or by the Company.


If you are unsure whether an item is allowed, you must contact Company support before purchasing, accepting, carrying, or delivering it.


10. Cash Handling, Payments, and Receipts

You may be required to handle cash, purchase funds, customer payments, delivery fees, or other amounts as part of an Order. You must follow the payment instructions in the Application and Company policies.


You must:

- collect cash only when the Application or Company instructs you to do so;

- pay stores only through the method approved for that Order;

- keep all cash, receipts, and purchase funds safe;

- settle cash and funds with the Company within the required timeframe;

- report payment issues immediately;

- not mix Company or Customer funds with unauthorized personal transactions;

- not keep, withhold, borrow, misuse, or delay returning any amounts owed to the Company, Customers, stores, or other parties.


You may be held responsible for missing cash, unauthorized charges, unapproved purchases, lost receipts, incorrect settlement, or losses caused by your fraud, negligence, misconduct, or breach of these Terms.


11. Delivery Fees, Earnings, Incentives, and Deductions

Your delivery fees, earnings, incentives, bonuses, reimbursements, or other payments may be calculated according to the rates, policies, agreements, or information shown in the Application or communicated by the Company.


The Company may update rates, incentives, payment schedules, or eligibility rules from time to time. Incentives and bonuses may be subject to conditions such as acceptance rate, completion rate, customer rating, distance, time, service zone, Order type, campaign rules, or absence of violations.


The Company may deduct, offset, withhold, or adjust amounts where permitted by applicable law and Company policy, including for cancelled or failed Orders, refunds, missing items, damaged items, cash shortfalls, unauthorized charges, fraud, penalties, customer complaints, or breach of these Terms.


12. Location Tracking and Status Updates

The Application may collect and use location data, route data, timestamps, delivery status data, and Device information to assign Orders, verify pickup and delivery, improve safety, support Customers, investigate complaints, calculate payments, prevent fraud, and operate the Service.


When you are logged into the Application, online, accepting Orders, or completing Orders, your location may be tracked. You must not disable, manipulate, fake, or interfere with location tracking, GPS, timestamps, status updates, or delivery proof during an active Order.


13. Communication with Customers, Stores, and Support

You must communicate respectfully and professionally with Customers, stores, Company staff, and other parties.


You may only contact Customers for legitimate Order-related reasons and only through approved channels where available. You must not use Customer information for personal purposes, marketing, harassment, unrelated contact, or any communication outside the purpose of completing the Order.


You must not ask Customers for personal favors, unauthorized tips, additional fees, private payments, personal contact details, or off-platform transactions.


14. Conduct and Safety Standards

You must perform Orders safely, lawfully, and professionally. You are responsible for complying with traffic rules, road safety requirements, parking rules, store rules, building rules, and applicable laws.


You must not:

- drive or work while under the influence of alcohol, drugs, or any substance that affects your ability to operate safely;

- drive dangerously, recklessly, or while distracted;

- use abusive, discriminatory, threatening, harassing, or inappropriate language or behavior;

- damage, steal, tamper with, open, consume, replace, or misuse any Customer or store item;

- falsify delivery proof, receipts, GPS data, documents, ratings, or account information;

- accept an Order that you cannot complete safely or lawfully;

- carry unauthorized passengers or allow unauthorized persons to handle Orders if doing so violates Company policy or applicable law;

- use the Service for fraud, money laundering, illegal activity, or any purpose other than authorized delivery or purchasing tasks.


15. Vehicles, Equipment, Licenses, and Insurance

You are responsible for ensuring that any vehicle, motorcycle, bicycle, delivery box, mobile phone, charger, internet connection, clothing, equipment, and other tools used to perform Orders are safe, clean, lawful, and suitable for the task.


You are responsible for maintaining all licenses, permits, registrations, and insurance required by applicable law for your vehicle and delivery activities, unless the Company expressly agrees otherwise in writing.


The Company is not responsible for vehicle damage, fuel, traffic fines, parking fines, mobile costs, accidents, injuries, third-party claims, or insurance coverage except to the extent required by applicable law or a separate written agreement.


16. Order Problems, Cancellations, and Failed Deliveries

If an item is unavailable, a store is closed, a Customer is unreachable, the address is incorrect, the Customer refuses delivery, an accident occurs, payment fails, or any other issue affects an Order, you must contact Company support and follow the instructions provided.


You must not cancel, abandon, return, keep, dispose of, or redirect an Order without authorization from the Company, except where necessary for immediate safety or legal reasons. Any return, replacement, refund, cancellation, or redelivery must follow Company policy.


17. Ratings, Quality Control, and Investigations

The Company may monitor performance, including acceptance, cancellation, completion, delivery time, customer feedback, complaints, GPS data, receipt accuracy, payment settlement, and compliance with these Terms.


The Company may investigate complaints, suspected fraud, safety incidents, missing items, cash shortages, or policy violations. You agree to cooperate with reasonable investigations, provide information, and respond to support requests.


18. Suspension, Deactivation, and Termination

We may suspend, restrict, or deactivate your account immediately, with or without prior notice, if we believe that you violated these Terms, Company policy, applicable law, safety standards, payment rules, customer privacy, or platform integrity, or if continued access may create risk to Customers, stores, the Company, other representatives, or the public.


Reasons for suspension or deactivation may include, without limitation, fraud, theft, harassment, unsafe conduct, repeated cancellations, false delivery status, account sharing, fake GPS, misuse of funds, repeated complaints, expired documents, unauthorized purchases, failure to settle cash, or failure to cooperate with investigations.


Upon termination or deactivation, you must stop using the Service and return any Company property, funds, equipment, documents, or information in your possession if requested.


19. Confidentiality and Customer Data

You may receive access to Customer names, phone numbers, addresses, order details, notes, location information, and other confidential or personal information. You must use this information only to complete the relevant Order and for no other purpose.


You must not copy, store, share, sell, publish, misuse, or disclose Customer, store, Company, or platform information except as required to complete the Order or as authorized by the Company.


20. Privacy

Your access to and use of the Service is also subject to our Privacy Policy, which describes how we collect, use, disclose, store, and protect personal information, including identity details, contact information, location data, Device information, account data, documents, payment details, and service activity.


By using the Service, you acknowledge that the Company may process your personal information as necessary to provide and operate the Service, verify your account, assign and manage Orders, communicate with you, calculate payments, settle amounts, prevent fraud, improve safety, comply with legal obligations, and enforce these Terms.


21. Intellectual Property

The Application, Service, logos, trademarks, software, designs, text, graphics, content, and all related intellectual property are owned by or licensed to the Company.


You are granted a limited, revocable, non-exclusive, non-transferable license to use the Application only for the purpose of performing authorized delivery and purchasing tasks through Souqelbeet. You must not copy, modify, reverse engineer, sell, rent, distribute, or misuse any part of the Service.


22. Third-Party Services and Application Stores

The Service may include or rely on third-party services, maps, payment providers, communication tools, analytics providers, hosting services, or Application Stores. We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.


You must also comply with the applicable rules of the Apple App Store or Google Play Store where relevant.


23. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted, error-free, available at all times, or that Orders will always be available.


To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement.


24. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, contractors, suppliers, and service providers shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, business interruption, lost opportunities, or reputational harm arising from or related to your use of the Service.


Nothing in these Terms limits liability that cannot be limited under applicable law. Your rights under mandatory applicable laws remain unaffected.


25. Indemnity

You agree to indemnify and hold harmless the Company, its affiliates, officers, employees, contractors, suppliers, and service providers from and against claims, damages, losses, liabilities, penalties, costs, and expenses arising out of or related to your breach of these Terms, fraud, negligence, misconduct, violation of law, misuse of Customer or Company information, unauthorized purchases, cash shortfalls, unsafe conduct, or damage caused by you while performing Orders.


26. Changes to These Terms

We may update or replace these Terms from time to time. If a change is material, we will make reasonable efforts to notify you through the Application, website, email, or other available communication channels.


By continuing to access or use the Service after updated Terms become effective, you agree to be bound by the updated Terms. If you do not agree, you must stop using the Service.


27. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by the laws of Saudi Arabia, without regard to conflict of law rules.


If you have any concern or dispute, you agree to first try to resolve it informally by contacting the Company. If the dispute cannot be resolved informally, it shall be handled by the competent courts or authorities in Saudi Arabia, unless applicable law requires otherwise.


28. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be interpreted to accomplish its intended purpose to the greatest extent permitted by law.


Failure by the Company to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.


29. Translation

These Terms may be made available in more than one language. In the event of any conflict between versions, the English version will prevail unless applicable law requires otherwise.
